License Agreement and Terms of UseAgreement Summary:By purchasing an avatar or world from CozyToby (the "Seller"), you (the "Buyer") are acquiring a license to use the purchased product (the "Product") subject to the terms outlined below. Only CozyToby has the authority to modify this license. The Buyer agrees to adhere to the following rules, as well as any future amendments made to this agreement by CozyToby.Terms of Use:1. No Reselling:
The Buyer is prohibited from reselling the Product, including any assets contained within the Product.2. Public Publishing in VRChat:
The Buyer may not publish the Product publicly in VRChat or any other platform where the Product can be accessed by the general public, unless written approval is granted by CozyToby. If such approval is given, proper credit must be given to the Seller in the format specified below.3. Gifting Policy:
The Buyer may gift the Product to one person per license purchase. Gifting must be done through the Payhip gifting system provided by the Seller.4. Media Usage:
The Buyer is permitted to use the Product in various media (e.g., videos, music) provided that proper credit is given to the Seller. The required credit format is specified below.5. No Refunds:
All sales are final, and no refunds will be issued as the Product is a digital item. However, support is available through the Seller's Discord.6. License Conditions:
This license is revocable, non-transferable, and non-sublicensable. The Seller reserves the right to revoke this license at any time for any reason without prior notice.7. Revocation of License for Incorrect Information:
If any information provided by the Buyer at the time of purchase is found to be incorrect or fraudulent, the license is immediately revoked without the possibility of a refund.8. Compliance with Third-Party TOS:
The Buyer must adhere to the Terms of Service (TOS) provided by the creators of any third-party assets used in the Product, whether those assets are included by CozyToby or later added by the Buyer. If any third-party assets require a separate license for usage (e.g., paid Unity licenses), the Buyer is responsible for acquiring the necessary licenses prior to using those assets.9. Prohibited Uses:
The Product may not be used in any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable. Violation of this clause will result in immediate revocation of the license.10. No Alterations or Derivative Works:
The Buyer is prohibited from making alterations to the Product that render it unrecognizable or creating derivative works based on the Product. All modifications must maintain the integrity of the original design as created by CozyToby.11. Ownership Clarification:
Ownership of the Product remains with CozyToby. The Buyer is purchasing a limited, non-exclusive license to use the Product under the terms outlined in this agreement. This license does not grant the Buyer any ownership rights to the Product.12. Termination Clause:
This license may be terminated by CozyToby at any time if the Buyer breaches any of the terms of this agreement. Upon termination, the Buyer must immediately cease all use of the Product and destroy any copies in their possession.13. Payment and Taxes:
The Buyer is responsible for the full payment of the Product at the time of purchase. The Buyer is also responsible for any applicable taxes, duties, or fees related to the purchase.14. Data Privacy:
The Seller will handle the Buyer's personal information in accordance with applicable data protection laws. Personal information collected during the purchase process will be used solely for the purpose of processing the transaction and providing support.15. Limited Liability:
The Seller shall not be held liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use the Product. The Buyer assumes all responsibility for ensuring the Product is suitable for their intended use.16. Non-Disclosure Agreement (NDA):
The Buyer agrees not to disclose or share any proprietary or sensitive information contained within the Product without the express written permission of the Seller.17. Jurisdiction and Governing Law:
This agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada. Any disputes arising from this agreement shall be resolved through mediation in Ontario, Canada. The mediation costs will be covered by the party in the better financial position to absorb the costs. Each party agrees to pay their own costs of mediation.18. Updates and Maintenance:
The Seller may provide updates or maintenance for the Product at their discretion. However, this purchase does not entitle the Buyer to free updates or ongoing support unless explicitly stated.19. Amendments to Terms:
The Seller may change the terms of this agreement at any time without notice. Continued use of the Product constitutes acceptance of any amended terms.20. Severability:
If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions will continue to be in full force and effect.21. Refund Policy Clarification:
All purchases of digital products are final. Due to the nature of digital goods, refunds are not offered except where required by law. The Buyer acknowledges and agrees to this no-refund policy prior to completing the purchase.Credit Format:VRChat World/Avatar
